What Founders Miss in Term Sheets

Most founders approach term sheets focused on valuation.

In practice, some of the most important dynamics sit elsewhere - control, leverage, incentives, investor alignment, negotiation structure and the details that only become visible once companies start scaling.

This session is designed as a practical founder discussion around how term sheets actually play out in real fundraising environments.

Flow

We’ll begin with a short briefing (c.15 mins) followed by a more interactive discussion around:• founder leverage during fundraising• negotiation dynamics• common mistakes and overlooked clauses• investor incentives and alignment• practical fundraising realities beyond headline valuation

The room will be kept small (15–17 founders) to allow for direct discussion and questions.

Who this is for

Founders currently raising or preparing for investor conversations, particularly at Seed to Series A stage.
